The authors have attempted to resolve differences in Russian Civil Legislation in force seen in such Federal Laws as «On Joint-Stock Companies» and «On Limited Liability Companies» and judicial practice concerning the notion and making an interested party transaction. The comparative study of such notions as «stake» and «affiliation» in transaction are examined advisedly. Many governments have legislations containing studied notions and consider them inextricably linked. But since the 1st of January 2017 the notion «affiliation» was not listed in the set of criteria for the transaction qualification as an interested party transaction in the Russian Legislation. The authors have drawn on their empirical experience in the sphere of regulation of the interested party transactions and have singled out several components: finding the moment when the person gets stake of the transaction and determination of stakeholders; recognized / not recognized bargains as the interested party transactions. The authors of the article have given their scientific findings and ways of solution with respect to making interested party transactions in the present context on the example of joint-stock and limited liability companies.
